The agreement
This is an agreement between you (the merchant, and the business you represent) and Zitrino LLC. If you are accepting on behalf of a company, you are confirming you have the authority to bind it.
You must be able to form a binding contract where you live, and you must operate a Shopify store you control.
What the service does
Shoplite provides a conversational agent that answers shopper questions using your catalogue, your orders and knowledge you supply; a dashboard for configuring it; and analytics derived from the conversations it has.
We add and improve features continuously. We will not remove something you depend on without notice, but the service is not frozen in the shape you first bought it.
Your Shopify connection
Shoplite requires read access to products, orders, customers and themes. Revoking that access, or uninstalling the app, stops the service working.
If we ever need a different permission we will say so plainly. Because Shopify requires a reinstall when permissions change, we change them rarely and deliberately.
Plans, limits and billing
Plans are sold by monthly conversation volume, billed in USD through Shopify every thirty days. A conversation is one shopper session with the agent, regardless of how many messages it contains.
Every plan starts with a 30-day free trial and can be cancelled during it at no cost. We do not cut a shopper off mid-conversation for exceeding a limit; we warn you as you approach the ceiling so you can move up a plan.
Fees are non-refundable except where the law requires otherwise. We will give at least thirty days' notice before a price change affects you.
How you may use it
Use Shoplite for your own store's customer conversations. Do not resell access, probe or attack the service, attempt to extract our models or prompts, use it to send unsolicited messages, or configure it to mislead shoppers about whether they are talking to software.
Do not upload knowledge you do not have the right to use, and do not use Shoplite for anything unlawful or for a category of goods your payment processor prohibits.
What you are responsible for
You own the agent's configuration: what it knows, the voice it speaks in, the topics it will discuss, and any discount ceilings you grant it. The knowledge base is only as accurate as the content you point it at.
You are responsible for telling shoppers they are talking to an AI agent where your local law requires it, and for keeping your published policies - shipping, returns, privacy - accurate, since the agent answers from them.
About AI output
The agent generates language probabilistically. It is grounded in your catalogue and your documents, and it cites what it used, but it can still be wrong or incomplete.
Its answers are not professional advice, and they do not vary or override your published terms, your prices or your legal obligations. Use the guardrails, spend caps and approval gates we provide, and review its conversations. You remain responsible for what your store tells your customers.
Intellectual property
We own Shoplite - the software, the models we build on top of providers, the interface and the documentation. You own your store data, your content and your configuration.
You grant us only the licence needed to run the service for you: to process your store data and knowledge so the agent can answer. If you send us feedback we may act on it without owing you anything for it.
Data protection
Our handling of personal data is set out in the privacy policy. For shopper data you are the controller and we are your processor; a data processing addendum is available on request and is incorporated into these terms where it applies.
Availability and support
We aim for continuous availability but do not promise it. Maintenance, provider outages and Shopify platform incidents can interrupt the service.
Support is by email on every plan, adds phone from Plus, and includes a dedicated manager on Pro Plus. We do not offer a contractual uptime credit at these price points and would rather say so than bury it.
Suspension and termination
You may stop at any time by uninstalling the app; that ends future billing and begins deletion of your data.
We may suspend or end access if you breach these terms, if your payments fail, or if your use threatens the service or other merchants. Where circumstances allow, we will warn you first and give you a chance to fix it.
Disclaimers and liability
Shoplite is provided as-is. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, neither party is liable for indirect, incidental or consequential loss, or for lost profits or revenue. Our total liability in any twelve-month period is limited to the fees you paid us in that period. Nothing here limits liability that cannot lawfully be limited.
Indemnity
You will defend and indemnify us against claims arising from your store's content, your configuration of the agent, or your breach of these terms.
Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules, and the courts of Delaware have exclusive jurisdiction. Either party may still seek injunctive relief where needed.
Changes
We will post changes here with a new date and email merchants about material ones. If a change is material and you object, stop using the service before it takes effect.
